On May 25, 2004, the Company issued a news release relating to an investigation of the paper and forest products industry (including the adhesive label stock market) by European regulators concerning alleged anticompetitive activities. In connection with the investigation, certain of the Company’s offices in the Netherlands and Germany were visited and documents obtained by the European Commission and local authorities. In addition, members of the paper and forest products industry have issued news releases with respect to the investigation, including UPM-Kymmene, which also indicated that it had been granted conditional full immunity with respect to certain conduct disclosed to the authorities.

PAPER AND FOREST PRODUCTS INDUSTRY

BY EUROPEAN REGULATORS

 

PASADENA, Calif. – May 25, 2004 – Avery Dennison Corporation (NYSE:AVY) confirmed that officials from the European Commission and relevant national competition authorities today visited and obtained documents from the Company’s pressure-sensitive materials facilities in the Netherlands and Germany. The investigation appears to relate to alleged anticompetitive activities in the European paper and forestry products industry, including the adhesive label stock market. Based on published press reports, other paper and forestry products companies received similar visits today from European authorities. Avery Dennison is cooperating fully with the investigation.

Spokesperson’s statement on investigation in the paper and forestry products sector

Brussels, 25 May 2004

 

Following press inquiries, the European Commission’s spokesperson for Competition has confirmed that, on 25 May 2004, Commission inspectors, assisted by officials from the national competition authorities of the Member States concerned, launched simultaneous unannounced inspections at the premises of some of the major European producers of paper and forestry products.

 

The purpose of these inspections is to ascertain whether there is evidence of cartel agreements and related illegal practices concerning price fixing, fixing of other commercial terms, and/or allocation of customers. Several product markets in the European paper and forestry products sector would be affected by the alleged arrangements.

 

The Commission’s spokesperson has also confirmed that the inspections have been carried out in close coordination with competition authorities in a number of EU countries, as well as the US and Canada. The EFTA Surveillance Authority, at the request of the Commission, participated in the inspections at premises of undertakings in the EFTA Member States.

 

Surprise inspections are a preliminary step in investigations into suspected cartels. The fact that the European Commission carries out such inspections does not mean that the companies are guilty of anti-competitive behaviour nor does it prejudge the outcome of the investigation itself. The European Commission respects the rights of defence, in particular the right of companies to be heard in antitrust proceedings.

 

There is no strict deadline to complete cartel inquiries. Their duration depends on a number of factors, including the complexity of each case, the extent to which the undertakings concerned co-operate and the exercise of the rights of defence.

EUROPEAN COMMISSION COMPETITION AUTHORITIES INVESTIGATE UPM PREMISES UPM RECEIVES CONDITIONAL FULL IMMUNITY FROM COMPETITION AUTHORITIES

 

European Commission investigators have today visited various UPM premises in connection with a Commission investigation of alleged antitrust activities.

 

In spring 2003, UPM initiated an internal investigation of competitive practices in all its units. At the same time the company also implemented additional competition law compliance programmes for its employees clearly signalling zero tolerance for any antitrust activity.

 

On January 15, 2004, after the internal investigation and to follow sound principles of corporate governance UPM decided to approach competition authorities in the European Union, the United States and Canada.

 

The EU, several of its member states, and Canadian authorities have informed that UPM has received conditional full immunity with respect to certain conduct disclosed to the authorities. In the United States, where a grand jury investigation was already pending with respect to pressure sensitive labelstock business, UPM continues to cooperate with the US Department of Justice in its investigation.

 

Immunity requires a commitment by UPM to cooperate fully with the competition authorities. In light of ongoing investigations UPM will have no further comments.
